BlueScorpion.io (“Site”) is operated by Scorpion Venom Foundation LLC, a Wyoming limited liability company (“the Foundation”). The Site operates under a non-exclusive intellectual property and brand license granted by Blue Scorpion Inc., a Florida corporation (“Licensor”).

BlueScorpion.io provides educational resources, decentralized-science (“DeSci”) tools, research transparency dashboards, governance interfaces, and blockchain-based participation mechanisms related to the Blue Scorpion ecosystem.

By accessing or using this Site, you (“User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must discontinue use of the Site immediately.

2. SITE PURPOSE

BlueScorpion.io is an educational and transparency-focused platform only. The Site provides:

All retail purchases are governed exclusively by Blue Scorpion Inc.’s Terms of Service.

3. RELATIONSHIP BETWEEN ENTITIES

Blue Scorpion Inc. (Florida)

• Owns all product IP, brand assets, trademarks, product formulas, marketing content

• Operates the retail website (BlueScorpion.com)

• Handles all customer, commerce, fulfillment, and product-related matters

Scorpion Venom Foundation LLC (Wyoming)

• Administers the DeSci ecosystem

• Operates BlueScorpion.io

• Manages $VENOM token governance and transparency

• Provides educational dashboards, research voting, staking, and token-based engagement

Third-Party Providers:

• Pump.Science provides decentralized blockchain infrastructure and research tokenization

• Reputable Health serves as the independent Contract Research Organization (CRO)

• Both operate independently of the Foundation and Licensor

No partnership, joint venture, or agency relationship is created between any of these entities.

4. USER ELIGIBILITY

By using the Site, you represent that:

• You are at least 18 years old or the age of majority in your jurisdiction

• You are not a resident of any sanctioned or restricted region

• You are legally authorized to participate in blockchain-based platforms

• You accept full responsibility for your wallet security and actions

If you use the Site on behalf of an organization, you certify you have full authority to bind that entity.

5. RESEARCH TRANSPARENCY

The Foundation does not conduct clinical trials and does not diagnose, treat, or manage health conditions.
All research displayed on the Site:

6. TOKEN PARTICIPATION, BRAND REWARDS & CONSUMPTIVE USE

6.1 Nature of the $VENOM Token

The $VENOM token is a brand token used for:

• Governance participation

• DeSci ecosystem involvement

• Loyalty reward allocations (optional)

It is not an investment, financial product, or security.

6.2 No Expectation of Profit

Users acknowledge and agree:

• They do not acquire, hold, stake, or receive $VENOM with ANY expectation of profit

• They have no expectation of appreciation, dividends, revenue share, return, or financial benefit

• All token interactions are consumptive in nature

• Token engagement is solely for governance, transparency, education, or participation

6.3 Transferability

Any on-chain transferability, staking, or exchange activity involving the $VENOM token is governed exclusively by the $VENOM Token Terms of Participation, available at:

BlueScorpion.io does not handle wallet security, private keys, or custody.

6.4 Loyalty / Rewards Programs

The Foundation may allocate $VENOM tokens for:

• Brand engagement

• Customer experience feedback

• Loyalty incentives

• Ecosystem participation

All such allocations:

• Have no monetary value

• Are not redeemable for cash

• Are not financial instruments

• Confer no ownership or equity rights

6.5 Refund / Reversal Requirement

If a User receives any token reward, loyalty point, or incentive and subsequently requests a refund, cancellation, or reversal of any qualifying action:
The User agrees that all associated tokens or rewards must be returned, forfeited, or burned.

This applies to ALL digital incentives.

6.6 No Product Purchases on BlueScorpion.io

BlueScorpion.io does not process payments.
All purchase activity occurs exclusively at BlueScorpion.com and is governed by the Terms of the Florida corporation.

7. BLOCKCHAIN & TECH OPERATIONS

• The Foundation does not operate blockchain nodes

• Pump.Science and Reputable Health run decentralized smart contracts and research-token infrastructure

• All wallet interactions are non-custodial

• The User assumes all blockchain-related risks, including gas costs, wallet compromise, volatility, or contract malfunction

8. PRIVACY & DATA

BlueScorpion.io processes only anonymized or non-personal data.
The Site does not store:

• Medical records

• PHI

• Insurance data

• Clinical data

Wallet addresses and on-chain interactions may be analyzed for governance or fraud-prevention purposes.

9. INTELLECTUAL PROPERTY

The Foundation and Licensor do not guarantee:

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

12. INDEMNIFICATION

Users agree to indemnify and hold harmless:

13. TERMINATION

The Foundation may suspend or terminate access to the Site for:

• Violations of these Terms

• Harmful behavior

Blockchain history recorded on decentralized networks cannot be altered or reversed.

14. GOVERNING LAW & ARBITRATION

These Terms are governed by the laws of the State of Wyoming. Class actions and representative proceedings are expressly waived.

15. MODIFICATIONS

The Foundation may update or modify these Terms at any time.
Continued use of the Site after updates constitutes acceptance of the revised Terms.
